Where the expressions below are applied on the web, they bear the following meanings:

Applicable Law

Applicable Law the Custody Act, section 91A of the Companies Act, and all the applicable rules and directives of any CSDP authorised under the Custody Act and settlement system operated in conjunction with any CSDP, under STRATE;

Articles

the Articles of Association of Sanlam;
Companies Act Companies Act, No 61 of 1973;
CSDP

Central Securities Depository Participant, a body authorised in terms of STRATE to hold and administer securities on behalf of shareholders;

Computershare

Computershare Investor Services (Proprietary) Limited (registration number 2004/003647/07), trading through its division Investor Services. Computershare administers Sanlam Share Account;

Computershare's
share dealing service

the service provided by Computershare for and on behalf of shareholders (they alone being responsible for the service, as they are not acting as agent for Sanlam or Sanlam Share Account);

Custody Act Custody and Administration of Securities Act, No 85 of 1992;
Dematerialise

the process in terms of STRATE whereby share certificates are converted into an electronic format;

FICA Financial Intelligence Centre Act, No 38 of 2001;
First-named

if more than one person is listed as holder in the member register of Sanlam, the holder being listed first;

JSE the JSE Securities Exchange South Africa;
NSX the Namibian Stock Exchange;
Procedures

Sanlam Share Account's standard practices and procedures, from time to time;

Rematerialise

the issuing of share certificates, when shares are taken out of the STRATE environment;

Sanlam Life

Sanlam Life Insurance Limited (registration number 1998/021121/06), a wholly-owned subsidiary of Sanlam;

Sanlam Share Account

Sanlam Share Account (Proprietary) Limited (registration number 1998/020664/07), a wholly-owned subsidiary of Sanlam Life and a nominee company established to hold Sanlam Securities on behalf of Shareholders;

Securities

securities, as defined from time to time in the Custody Act, that are issued by Sanlam and are received and held by Sanlam Share Account in safe custody for the account of Shareholders under the terms and conditions;

Securities Account

an account in the Shareholder's name on Sanlam Share Account's books;

Shareholder includes the beneficial holder of Securities;
Share Statements

statements confirming the electronic record of ownership of dematerialised Securities;

STRATE

an electronic environment to register the settlement of share transactions and record ownership electronically, and regulated by STRATE Limited (registration number 1998/022242/06);

STRATE directive STRATE directive SDD – "Own Name" Clients.
